Trial and Evaluation Agreement

This Trial and Evaluation Agreement (the "Agreement") is entered into by and between Atrosec (the "Licensor") and the entity or individual accessing the Services (the "Licensee" or "Customer").

By clicking "I Accept", executing an Order Form referencing this Agreement, or accessing or using the Services, Licensee agrees to be bound by the terms of this Agreement.

Definitions

Evaluation Services

The Atrosec APIs, MasterDB platform, dashboards, documentation, and associated software tools provided by Licensor solely for evaluation purposes.

Evaluation Period

The period beginning on the date the Licensee's account is activated and continuing for fourteen (14) calendar days unless extended in writing by Licensor.

Licensee Data

Any URLs, metadata, requests, queries, files, or other information submitted by Licensee through the Evaluation Services.

License Grant and Restrictions

Subject to the terms of this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Evaluation Services solely for internal business evaluation and testing purposes during the Evaluation Period.

Licensee shall not:

• Sublicense, sell, lease, rent, distribute, or commercially exploit the Evaluation Services.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of the APIs or MasterDB platform.
• Use the Evaluation Services to develop or assist in developing a competing product or service.
• Share API keys, login credentials, authentication tokens, or account access with any third party.
• Use the Evaluation Services for production workloads or commercial operations.
• Use the Evaluation Services in violation of applicable law.

Ownership and Intellectual Property

Licensor Ownership

Licensor retains all right, title, and interest in and to the Evaluation Services, including all software, APIs, databases, threat intelligence, documentation, algorithms, machine learning models, trademarks, copyrights, trade secrets, and all updates, enhancements, and modifications.

No ownership rights are transferred to Licensee under this Agreement.

Licensee Data

Licensee retains all ownership rights in its Licensee Data.

Licensee grants Licensor a limited, non-exclusive, worldwide license to process, analyze, store, and use Licensee Data solely for:

• Providing the Evaluation Services.
• Performing threat analysis.
• Improving detection capabilities and machine learning models.
• Maintaining and securing the Evaluation Services.

No Warranty ("AS IS")

No Service Level Agreements (SLAs), uptime commitments, maintenance obligations, or technical support obligations apply during the Evaluation Period unless expressly agreed in writing.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE EVALUATION SERVICES.

LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Confidentiality

Each party shall maintain the confidentiality of the other party's Confidential Information and shall use at least the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care.

Confidential Information includes:

• API keys
• Authentication credentials
• Proprietary threat intelligence
• Technical documentation
• Product performance metrics
• Non-public business or technical information

Neither party shall disclose Confidential Information to any third party except as required by law.

Term and Termination

This Agreement becomes effective on the date Licensee first accesses the Evaluation Services and automatically terminates upon expiration of the Evaluation Period unless otherwise extended by Licensor in writing.

Either party may terminate this Agreement at any time, with or without cause, upon written notice.

Upon termination or expiration, Licensee shall immediately:

• Cease all use of the Evaluation Services.
• Delete all API keys, authentication credentials, and documentation.
• Discontinue access to all Evaluation Services.

Termination does not affect provisions intended to survive, including ownership, confidentiality, disclaimers, limitations of liability, and governing law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Evaluation Services and supersedes all prior or contemporaneous agreements, proposals, representations, or understandings relating to its subject matter.

No Waiver

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Acceptance

By accessing or using the Evaluation Services, Licensee acknowledges that it has read, understood, and agrees to be bound by this Agreement.
